As a trusted steward, we actively promote the best corporate governance practices across our group of companies. This includes appointing highly capable, experienced, and diverse board of directors who provide guidance and complement the leadership of the management team.

Guidance by the Royal Charter: The governance structure of DHI is guided by the Royal Charter, which sets out clear authority and duties of the Board.

Board Profile: Our Board provides strategic direction and guidance to the Management.

Appointments:

  • The Chairman of the DHI Board is appointed by His Majesty the King.
  • Other Board Directors are appointed by the Blue-Ribbon Panel (A five member panel led by DHI Chairman, with members from other statutory agencies).
  • The Board appoints the CEO.

Our Governance Framework

Our governance framework prioritizes the creation and maximization of returns to its shareholders and places the institution at the center of its operations.

Transparency and adherence to regulations are fundamental principles within our governance framework.

Our Board and Management team diligently uphold these principles by complying with the provisions of the Royal Charter, Companies Act of Bhutan 2016, and other relevant rules and regulations.

Commercial Mandate

We own and manage our portfolio with full commercial discretion and flexibility including investment, divestment and business decisions under the guidance of our Board.

We adopt a prudent and strategic approach to managing our portfolio as responsible investors and asset owners.

Governance of our Portfolio Companies

As an active owner and principal shareholder, we promote best corporate governance practices in our portfolio companies.

We appoint Board of Directors and CEOs who are professionally qualified, well-experienced, highly motivated and of high integrity.

We track our portfolio's performance to ensure sound business management and financial control by setting performance targets and benchmarks and holding them responsible for meeting them.

Our Board Committees

Board Audit Committee (BAC)

The Board Audit Committee is a subcommittee of the DHI Board established to provide an independent oversight responsibilities by reviewing, among other things, the organization financial reporting and compliance, risk management and internal control, oversight of Internal Audit Unit functions and reviews the scope, engagement and independence of the external auditors.

The BAC operates under a formal BAC Charter approved by the DHI Board which outlines the roles and responsibilities, authority and the membership. This charter is reviewed periodically to ensure it remains aligned with best practices. The BAC is supported by the Internal Audit Unit of the DHI.

Nomination and Governance Committee (NGC)

The Nomination and Governance Committee (NGC) is a joint body comprising members from both DHI and the Boards of DHI-owned and DHI-controlled companies. It is mandated to oversee the selection and appointment of Chief Executive Officers (CEOs) for these companies.

Key responsibilities include:

  • Finalizing the CEO’s Terms of Reference and selection criteria
  • Defining the selection methodology
  • Leading formal interviews
  • Recommending the most qualified candidate to the respective Board for appointment
  • The final authority for CEO appointments rests with the DHI Board.
